无权代理人以被代理人的名义订立的合同，本来受民法典第171条 拘束，未被被代理人追认，该合同就对被代理人不发生效力。本条规定 的规则是，对于无权代理人以被代理人的名义订立的合同，尽管被代理 人没有明示表示追认，但是被代理人已经开始履行该合同约定的义务， 或者对对方当事人的履行行为予以受领的，就以被代理人的实际行为， 表明他已经接受了该合同订立的事实，并且承认其效力，因而视为被代 理人对该合同予以追认，无权代理人订立的该合同，被代理人应当承受 法律上的后果，负担应当履行的义务，享有应当享有的权利。对此，被 代理人不得再主张该合同对其不发生效力，善意相对人也不得对该合同 行使撤销权。
