第五百四十四条 当事人对合同变更的内容约定不明确的，推定为未变更。
条文要义
合同变更禁止推定，是指当事人变更合同的意思表示须以明示方式 为之，在当事人未以明示方式约定合同变更的，禁止适用推定规则推定 当事人有变更合同的意愿。禁止推定规则是合同变更须以明示方式为之 的应有之义。
在合同变更中适用禁止推定规则的原因，是因为合同变更一旦确 认，将改变原合同的权利义务内容，甚至改变原合同的性质，就会产生 消灭原合同的效力，不仅消灭原合同的主债务，而且消灭其从债务，因 此会使原合同当事人缔结合同所期待的法律后果发生重大改变，如果在 当事人没有明示的意思表示的情况下，就推定合同变更，将会对一方当 事人产生严重的不利影响，损害其权益。合同变更不得进行推定，就是 要防止这种结果的出现。
本条没有直接规定合同变更的禁止推定规则，是从反面规定了反推 定规则，是禁止推定规则的另一种表现形式，也是要维护原合同的稳定 性，维护当事人之间利益关系原有的格局，防止出现因新合同对合同变 更的约定不明而认定发生了合同变更，进而损害一方当事人的权益。因 此，凡是一方或者双方当事人主张合同变更，只要约定变更的新合同对 变更的内容约定不明确的，直接推定为未变更。不过，对一方主张变 更，另一方主张未变更的，推定为未变更没有问题；如果双方当事人都 主张变更，只是对变更的内容约定不明确，则可以让当事人重新协商变 更内容，能够达成一致的，不适用这个反推定规则；只有达不成变更协 议，仍然属于变更的内容约定不明确的，再推定原合同没有变更。
